1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and StackStats Apps LLC ("EscrowDLT," "we," "us," or "our") governing your use of the EscrowDLT platform, website, and services.
By accessing or using EscrowDLT, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.
2. Description of Service
EscrowDLT is a platform that facilitates escrow transactions using the XRP Ledger's native escrow functionality. Our service allows users to:
- Create escrow agreements with defined conditions and expiration dates
- Lock funds in XRPL-native escrow (RLUSD, USDC, USDT, or XRP)
- Release escrowed funds upon fulfillment of conditions
- Return funds if conditions are not met or time-locks expire
- Access dispute resolution services when needed
Important: EscrowDLT is a facilitator, not a custodian. Funds are held by the XRPL blockchain itself using its native escrow feature. We do not custody, control, or have access to your funds at any time.
3. Eligibility
To use EscrowDLT, you must:
- Be at least 18 years old
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our services under applicable laws
- Comply with all local, state, national, and international laws
- Not be located in a jurisdiction where cryptocurrency services are prohibited
By using EscrowDLT, you represent and warrant that you meet these eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
You must create an account to use EscrowDLT. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Maintain the security of your password and account
- Notify us immediately of any unauthorized use
4.2 Account Security
You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain account security.
4.3 Wallet Security
You are solely responsible for the security of your XRPL wallet and private keys. We cannot recover lost or stolen private keys. Loss of your private keys may result in permanent loss of access to your funds.
5. Escrow Service Terms
5.1 Escrow Creation
When creating an escrow:
- You must accurately specify all conditions, amounts, and time-locks
- Both parties must agree to the terms before funding
- Once created and funded, escrow conditions cannot be modified without mutual consent
- All escrows are subject to XRPL network fees (typically <$0.01)
5.2 Funding Escrows
The buyer (funding party) must:
- Send the exact amount specified to the XRPL escrow address
- Use a compatible XRPL wallet
- Ensure sufficient funds for network fees
- Verify the destination address before sending funds
Warning: Cryptocurrency transactions are irreversible. Always double-check wallet addresses before sending funds. EscrowDLT cannot reverse or recover funds sent to incorrect addresses.
5.3 Escrow Release
Funds are released when:
- The buyer confirms fulfillment of conditions and initiates release, OR
- All milestone conditions are met (for milestone-based escrows), OR
- A dispute is resolved in favor of the seller
Once released, the transaction is final and cannot be reversed.
5.4 Escrow Cancellation and Return
Funds may be returned to the buyer when:
- The time-lock expires without conditions being met
- The seller fails to deliver as agreed
- Both parties mutually agree to cancel
- A dispute is resolved in favor of the buyer
5.5 Time-Locks
All escrows must include a time-lock expiration. If the escrow is not released before expiration, the buyer may cancel and recover their funds. We recommend setting realistic time-locks that account for delivery times and potential delays.
6. Dispute Resolution Policy
6.1 Initiating a Dispute
Either party may initiate a dispute if:
- The seller fails to deliver as promised
- The buyer refuses to release funds despite proper delivery
- There is disagreement about whether conditions were met
- Communication has broken down between parties
6.2 Evidence Submission
Both parties must submit:
- A clear description of the dispute
- Evidence supporting their position (photos, documents, communications)
- Proof of delivery or non-delivery
- Any relevant transaction records
Disputes with insufficient evidence may be resolved based on available information or default to time-lock expiration.
6.3 Arbitration Process
EscrowDLT will review the evidence and make a determination within 5-7 business days. Our arbitration decision is based on:
- The original escrow agreement terms
- Evidence provided by both parties
- XRPL transaction records
- Industry standards and reasonable expectations
6.4 Arbitration Finality
Our arbitration decision is final unless both parties agree to escalate to binding third-party arbitration. By using EscrowDLT, you agree to accept our arbitration decisions.
6.5 Dispute Fees
Dispute resolution is included in Pro and Business plans. Free plan users pay a $25 dispute fee, deducted from the escrow amount or charged to the initiating party if no funds are available.
7. Fees and Payments
7.1 Subscription Plans
EscrowDLT offers three subscription tiers: Free, Pro ($39/month), and Business ($99/month). Subscription details are available on our pricing page.
7.2 Billing
Paid subscriptions are billed monthly in advance. You authorize us to charge your payment method automatically each billing cycle. Subscriptions renew automatically unless cancelled.
7.3 Cancellation and Refunds
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months.
7.4 XRPL Network Fees
XRPL transactions incur small network fees (typically <$0.01 per transaction). These fees are paid to XRPL validators, not to EscrowDLT. Network fees are deducted from your wallet when you interact with the blockchain.
8. Prohibited Uses
You may not use EscrowDLT for:
- Illegal activities or transactions
- Money laundering or terrorist financing
- Purchasing illegal goods or services
- Fraud, scams, or deceptive practices
- Violating sanctions or export control laws
- Gambling or games of chance (unless licensed)
- Adult services or content
- Transactions that violate our Acceptable Use Policy
We reserve the right to suspend or terminate accounts engaged in prohibited activities and cooperate with law enforcement as required.
9. Disclaimers and Limitations of Liability
9.1 Service Provided "As Is"
EscrowDLT is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee:
- Uninterrupted or error-free service
- Specific outcomes for your transactions
- Security of the XRPL network (outside our control)
- Value or liquidity of cryptocurrencies
9.2 Not a Fiduciary
EscrowDLT is not a fiduciary, custodian, or trustee. We do not provide financial, legal, or tax advice. Consult appropriate professionals before using cryptocurrency escrow services.
9.3 Blockchain Risks
You acknowledge that blockchain transactions involve inherent risks including:
- Network congestion or downtime
- Volatility in cryptocurrency values
- Loss of private keys
- Smart contract or protocol vulnerabilities
- Irreversible transactions
EscrowDLT is not responsible for losses resulting from these blockchain-inherent risks.
9.4 Limitation of Liability
To the maximum extent permitted by law, EscrowDLT and its affiliates shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages exceeding the amount you paid to EscrowDLT in the past 12 months
Important: Some jurisdictions do not allow limitations on implied warranties or liability. These limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless EscrowDLT, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your escrow transactions and disputes
11. Intellectual Property
All content, features, and functionality of EscrowDLT (including but not limited to text, graphics, logos, software, and design) are owned by StackStats Apps LLC and protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or exploit any portion of our service without express written permission.
12. Termination
12.1 By You
You may terminate your account at any time by contacting us. Active escrows must be resolved before account closure.
12.2 By Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- You engage in prohibited activities
- Required by law or legal process
- Your account is inactive for 12+ months
We will provide notice when feasible, but may terminate immediately for serious violations.
12.3 Effect of Termination
Upon termination:
- Your right to use EscrowDLT ceases immediately
- Active escrows will continue until completion or expiration
- You may request an export of your transaction history
- Provisions regarding liability, indemnification, and disputes survive termination
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Alaska and the United States, without regard to conflict of law principles.
13.2 Arbitration Agreement
Any dispute between you and EscrowDLT (excluding disputes related to your escrow transactions with other users) shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.
You agree to waive your right to a jury trial and to participate in class action lawsuits.
13.3 Exceptions
Either party may seek injunctive relief in court to prevent unauthorized use of intellectual property or confidential information.
14. Changes to Terms
We may modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be communicated via email or prominent notice.
Your continued use of EscrowDLT after changes constitutes acceptance. If you do not agree to the changes, you must stop using our services.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and EscrowDLT.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full effect.
15.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.
15.5 Force Majeure
We are not liable for delays or failures due to causes beyond our reasonable control, including but not limited to natural disasters, government actions, network failures, or blockchain protocol issues.
